Terms of Service

1. Nature of the service

Syndicate is co-investment bookkeeping, calculation, and allocation software. It is not a bank, broker, fund, investment adviser, fiduciary manager, or fundraising platform.

• We do not provide investment, legal, accounting, or tax advice.
• We do not hold, receive, or transfer investment funds.
• We do not place trades, manage investments, or guarantee returns.

2. User responsibilities

• You must verify entered data, calculations, and reports and obtain professional advice when needed.
• You must have authority to enter other members’ names and related data.
• You may not use the service for public fundraising, unlawful investments, fraud, money laundering, or infringement.
• You must protect your account and must not share credentials or access another user’s data.

3. Subscription and founder pricing

Subscriptions automatically renew monthly. PayPal currently bills NT$140 TWD per month; displayed USD amounts are estimates only. Founder subscriptions completed by June 30, 2026 retain the current founder price only while the same subscription remains active without cancellation, failed payment, or interruption.

4. Features and updates

An active subscription includes features and general product updates offered under the current plan. Syndicate may adjust features for security, legal, technical, or operational reasons. Separate products, advanced plans, and third-party fees are not guaranteed to be included.

5. Data and availability

You retain rights to content you enter. Keep independent exports or backups of important data. Maintenance, providers, or force majeure may interrupt service. We do not guarantee uninterrupted service or error-free calculations.

6. Suspension and termination

We may suspend or terminate access for violations, security threats, or unlawful activity. You may stop renewal under the Refund and Cancellation Policy.

7. Limitation of liability

To the extent permitted by law, Syndicate is not liable for investment decisions, trading losses, input errors, tax results, third-party services, or indirect damages. Liability that cannot legally be excluded remains unaffected.

8. Governing law and disputes
